Terms & Conditions

Last updated October 6, 2026

These terms govern your use of Ad Vital's software and services, including Ad Vital's own text messaging program.

1. Agreement to terms

By accessing or using Ad Vital's software and services (the "Services"), you agree to these Terms & Conditions. If you are using the Services on behalf of a practice or organization, you represent that you are authorized to bind that entity.

2. The Services

Ad Vital provides communication, scheduling, reporting, and payment tools for aesthetic practices, including the Kaia AI front desk, Catch reporting, Vital Pay, and integrations with third-party record systems. Features may evolve over time. We may add, change, or remove functionality without notice.

3. Accounts and access

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate information and keep it current.

4. Acceptable use

You agree to use the Services only for lawful purposes and in compliance with applicable healthcare, telecommunications, and consumer-protection laws, including those governing patient communications and consent. You will not misuse the Services, interfere with their operation, or attempt to access them by unauthorized means. Practices using Ad Vital to message their own patients remain responsible for their own messaging programs, patient-facing terms, notices, and required consents.

5. Fees, usage, and payments

The Ad Vital subscription is billed monthly in advance per your License Agreement. Usage fees for SMS, phone calls, AI, and email are processed via Stripe/NMI on usage plans. Payments processed through Vital Pay are subject to the applicable payment-processor terms. Fees are non-refundable except as expressly stated or required by law. These business subscription and usage fees are separate from the mobile carrier message and data rates that may apply to a recipient of an Ad Vital text message.

6. HIPAA and business associate agreement

Where Ad Vital processes protected health information on your behalf, the parties will enter into a Business Associate Agreement (BAA) that governs the handling of that information. The BAA controls in the event of any conflict with these Terms regarding PHI.

7. Intellectual property

The Services, including all software, content, and trademarks, are owned by Ad Vital or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain ownership of your practice and patient data.

8. Disclaimers and limitation of liability

The Services are provided "as is" without warranties of any kind. To the maximum extent permitted by law, Ad Vital is not liable for indirect, incidental, or consequential damages, and our aggregate liability is limited to the fees paid by you in the twelve months preceding the claim.

9. Termination

Either party may terminate in accordance with the order terms. On termination, your right to use the Services ends, and we will make your data available for export for a reasonable period as described in our Privacy Policy.

10. Ad Vital SMS program

Ad Vital may send text messages to prospective and existing business customers who separately opt in to its SMS program when booking a demo or requesting information. Messages may include demo confirmations, appointment reminders, scheduling or rescheduling updates, responses to inquiries, customer support, service-related updates, and follow-up about the Ad Vital products or services you requested information about. Providing a phone number or booking a demo by itself does not constitute consent to receive SMS. Consent to receive text messages is not a condition of purchase or of booking a demo. Consent to email or phone calls, if any, is separate from SMS consent.

Message frequency may vary. Message and data rates may apply. Reply STOP to the Ad Vital number that sent you a text to opt out at any time. After opting out, you may receive one confirmation of your request. Reply HELP to that same number for assistance. For customer care, email support@advital.app or call (832) 835-5730. See the Privacy Policy for how we handle mobile information and SMS consent. These SMS program terms apply to messages sent by Ad Vital to its own business contacts, not to patient messages sent by independent practices using the Ad Vital platform.

11. Changes and contact

We may update these Terms from time to time; material changes will be communicated. Questions? Email support@advital.app or call (832) 835-5730.
